Terms and Conditions Varios B.V.

  1. Applicability and Contractual Basis: These terms and conditions apply to all agreements and transactions between Varios B.V. ("Varios") and its customers. These terms, together with specific agreements, offers, order confirmations, and invoices, form the complete agreement between Varios and the customer.

  2. Formation of the Agreement: An agreement between Varios and the customer is concluded upon written or electronic order confirmation by Varios. All offers are non-binding unless expressly agreed otherwise.

  3. Payment and Delivery: Payments must be made according to the agreed terms. Full payment is required for online orders. Delivery is made in accordance with the agreed INCOTERMS 2020 clauses. Additional costs for deliveries outside the Netherlands will be handled on a case-by-case basis.

  4. Prices and Costs: All prices are excluding VAT and apply unless otherwise agreed in writing. Varios reserves the right to adjust prices in the event of changes in cost factors, subject to any printing or typing errors.

  5. Inspection and Complaints Procedure: The customer must inspect the received goods upon delivery. Visible defects must be reported immediately, while non-visible defects must be reported in writing within five working days after receipt. Complaints will be handled by Varios in accordance with the applicable warranty conditions.

  6. Retention of Title: The delivered goods remain the property of Varios until full payment has been received. In the event of non-payment or insolvency of the customer, Varios reserves the right to reclaim the goods.

  7. Liability: Varios is only liable for direct damage caused by intent or gross negligence. Varios is not liable for indirect or consequential damages.

  8. Force Majeure: In the event of force majeure, Varios is not obliged to fulfill its obligations. The agreement can be terminated in such a case without liability for damages.

  9. Product Liability: Varios is only liable for damages caused by defects in its products if certain conditions, as established by law, are met.

  10. Intellectual Property: All intellectual property rights related to the products and services of Varios remain with Varios. It is not permitted to use these intellectual property rights without the written consent of Varios.

  11. Privacy and Data Protection: By entering into an agreement with Varios, the customer agrees to the collection and processing of personal data by Varios in accordance with applicable privacy laws.

  12. Cookies and Online Purchases: By using the website and webshops of Varios, the customer agrees to the use of cookies. The terms and conditions for online purchases are determined by the applicable payment and delivery terms of Varios.

  13. Applicable Law and Dispute Resolution: Dutch law applies to all agreements between Varios and its customers. Disputes will be submitted to the competent court in the district where Varios is located.

  14. Changes and Amendments: These terms and conditions may only be amended or supplemented in writing by Varios.
